By accessing or using any tools, services, or content available on this website (collectively, the "Service"), you ("User," "you," or "your") agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the Service.

All tools, documents, stamps, labels, and other output produced by PleadWell.AI are generated by artificial intelligence and automated software. Nothing on this website constitutes legal advice, legal representation, or work product produced by a licensed attorney. PleadWell.AI is not a law firm and does not provide legal services. Use of this Service does not create an attorney-client relationship between you and PleadWell.AI or any of its owners, operators, or affiliates.


1. Nature of the Service


PleadWell.AI provides browser-based tools that assist with document preparation tasks, including but not limited to exhibit stamping, exhibit binding, bates numbering, slipsheet generation, document merging, etc. (collectively, "Tools"). These Tools are powered by artificial intelligence and automated algorithms.


You acknowledge and agree that:

  1. The Tools are AI-powered software products produced entirely by machine processes, not by licensed attorneys or legal professionals.

  2. AI technology is inherently imperfect. AI makes mistakes. Output may contain errors, omissions, inaccuracies, formatting defects, or other deficiencies.

  3. No output of the Service has been reviewed, verified, or approved by a licensed attorney unless you independently arrange for such review.

  4. The Service is offered solely as a convenience tool to assist with mechanical document preparation tasks. It is not a substitute for the professional judgment of a licensed attorney.


2. Professional Responsibility — Attorney Users


For Licensed Attorneys

If you are a licensed attorney, you bear sole and exclusive professional responsibility for reviewing, verifying, and ensuring the accuracy and legal sufficiency of all output generated by the Service before filing, serving, submitting, or otherwise relying upon it in any legal proceeding or professional context.


You acknowledge that:
 

  1. Your jurisdiction's rules of professional conduct require you to supervise and review all work product before submission to any court, tribunal, agency, or opposing party, regardless of whether that work product was prepared by AI, a paralegal, a junior associate, or any other source.

  2. Use of AI tools does not diminish, alter, or excuse your obligations under applicable rules of professional conduct, including but not limited to duties of competence (e.g., ABA Model Rule 1.1), diligence (Rule 1.3), and candor toward the tribunal (Rule 3.3).

  3. You are solely responsible for verifying that all exhibit labels, page numbers, Bates numbers, document content, and formatting comply with applicable court rules, local rules, and standing orders.

  4. PleadWell.AI assumes no liability for any consequence arising from an attorney's failure to review output before use.


3. Non-Attorney Users


If You Are Not a Licensed Attorney You must consult a licensed attorney before using any products or output offered by PleadWell.AI in connection with any legal proceeding, court filing, or legal matter. The Service is not designed to enable the unauthorized practice of law. Non-attorney users assume all risk associated with the use of the Service without independent legal counsel.

If you are not a licensed attorney, you acknowledge that:

  1. The output of the Service does not constitute legal advice and should not be treated as such.

  2. You should not rely on the Service as a substitute for obtaining qualified legal representation.

  3. Filing documents with a court or serving documents on another party may have significant legal consequences. You should seek the advice of a licensed attorney before taking any such action.

  4. PleadWell.AI is not responsible for any adverse outcome resulting from a non-attorney's use of the Service without proper legal guidance.
     

4. No Warranty; Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT.

Without limiting the foregoing, PleadWell.AI does not warrant that:

  1. Output will be free of errors, omissions, or formatting defects.

  2. Exhibit labels, Bates numbers, or page numbering will be accurate or sequential in all cases.

  3. Output will comply with the rules of any particular court, jurisdiction, or tribunal.

  4. The Service will be available without interruption or that defects will be corrected.

  5. Files processed through the Service will not be corrupted, truncated, or otherwise altered in unintended ways.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLEADWELL.AI, ITS OWNERS, OPERATORS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

IN NO EVENT SHALL PLEADWELL.AI'S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO PLEADWELL.AI FOR THE SPECIFIC TRANSACTION GIVING RISE TO THE CLAIM, OR FIFTY DOLLARS ($50.00), WHICHEVER IS GREATER.

6. Indemnification

You agree to indemnify, defend, and hold harmless PleadWell.AI, its owners, operators, officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your failure to review, verify, or correct output before use; (c) any violation of these Terms; or (d) any claim that your use of the Service caused harm to a third party.

7. User Data and Privacy

All document processing performed by PleadWell.AI occurs locally in your web browser. No files are uploaded to our servers, and no document content is transmitted over the internet during processing. We do not store, access, or retain any documents or their contents.

We may collect limited non-content data such as usage analytics, payment information (processed by third-party payment providers), and account credentials. Such data is handled in accordance with our Privacy Policy.

8. Acknowledgment and Acceptance

Mandatory Acknowledgment
By using the Service, you affirmatively represent and warrant that you have read, understood, and agree to be bound by these Terms of Use in their entirety. You specifically acknowledge that: (1) the Service is powered by AI that may produce errors; (2) nothing produced by the Service constitutes legal advice; (3) you are solely responsible for verifying all output; and (4) if you are not a licensed attorney, you will consult one before using any output in a legal context.

You will be required to confirm your acceptance of these Terms before accessing the Service. Continued use of the Service after any modification to these Terms constitutes acceptance of the modified Terms.

9. Acceptable Use

You agree not to:

  1. Use the Service for any unlawful purpose or in furtherance of illegal activity.

  2. Attempt to reverse-engineer, decompile, or disassemble the Service or its underlying technology.

  3. Resell, redistribute, or sublicense access to the Service without written authorization from PleadWell.AI.

  4. Interfere with or disrupt the integrity or performance of the Service.

  5. Misrepresent AI-generated output as having been prepared or reviewed by a licensed attorney when it has not been.

10. Intellectual Property

All intellectual property rights in the Service, including its design, code, algorithms, and branding, are owned by PleadWell.AI. You retain ownership of all documents you upload and all output generated from your documents. PleadWell.AI claims no ownership interest in user-uploaded content or generated output.

11. Modifications to Terms

PleadWell.AI reserves the right to modify these Terms at any time. Material changes will be communicated by updating the "Last Updated" date at the top of this page. Your continued use of the Service following any modification constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of such courts.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and PleadWell.AI regarding the Service and supersede all prior agreements, understandings, or representations.
